Policy Overview & Purpose
This Cancellation Policy governs the termination of professional service agreements, Statements of Work (SOWs), agile development sprints, and ongoing software maintenance retainers entered into between the Client and WIATES Technologies.
We structure our cancellation protocols to be fair, orderly, and protective of both parties’ commercial and intellectual property rights, ensuring that clients always receive full ownership of the digital assets they have paid for.
Client-Initiated Cancellation
Clients may cancel an active project engagement at any stage for convenience by providing formal written notice to WIATES in accordance with the following terms:
- Notice Period: Custom engineering engagements require a minimum of fourteen (14) calendar days written notice (or thirty (30) days for enterprise engagements with dedicated engineering squads), allowing an orderly closeout of active sprints and branch merging.
- Settlement of Incurred Costs: Upon receipt of the cancellation notice, WIATES will immediately cease work on future uncommenced tasks. The client will be invoiced only for verified engineering hours, milestone deliverables, and non-cancellable third-party commitments incurred up to the effective termination date.
- Delivery of In-Progress Assets: Once all outstanding invoices for work completed up to the termination date are settled, WIATES will promptly hand over all Git repository access, documentation, test suites, and design files in their current state.
WIATES-Initiated Cancellation
WIATES reserves the right to suspend services or terminate a contract upon written notice under the following circumstances:
- Non-Payment or Delinquency: Failure by the client to settle undisputed invoices within fourteen (14) days past their due date, following a formal written cure notice.
- Material Breach: Violation of confidentiality agreements, intellectual property covenants, or harassment of engineering personnel.
- Client Non-Responsiveness: Prolonged client unresponsiveness (failure to provide necessary feedback, staging credentials, or approvals for more than thirty (30) consecutive days), which stalls project progression and engineer allocation.
- Unethical or Unlawful Scope: Discovery that the software is intended for illegal activities, malware distribution, predatory data scraping, or regulatory fraud.
Retainer & Recurring SLA Maintenance Contracts
For ongoing monthly maintenance, DevOps management, dedicated cloud monitoring, or fractional CTO advisory retainers:
- Thirty (30) Days Notice: Monthly retainers may be canceled at any time by providing written notice at least thirty (30) calendar days prior to the next scheduled monthly billing cycle.
- No Penalty: There are no cancellation penalties or early termination fees for standard month-to-month retainers. Services continue at full capacity through the conclusion of the paid monthly cycle.
- Annual Commitments: If a client enrolled under a discounted annual SLA agreement cancels prior to term completion, billing will be adjusted to the standard non-discounted monthly rate for the months elapsed.
Offboarding & Security Protocol
Upon contract cancellation, WIATES initiates a systematic offboarding workflow:
- Complete transfer of source code, production deployment documentation, and containerization recipes.
- Revocation and rotation of all client cloud credentials, API tokens, and database access keys held by WIATES engineers.
- Deletion of client proprietary staging data from local developer machines and temporary testing environments in accordance with our data destruction policies.
- Written mutual release of project obligations, while keeping confidentiality and intellectual property clauses in full perpetual effect.
